Upon written request of ten (10) club members. Any decision made by the
Board of Directors may be taken to a vote of the general membership and balloted as set forth
in ARTICLE V and ARTICLE VI of the club Constitution.
Membership will be by application and upon such terms as the club will provide in its By-Laws.
Sec. 1. - The officers of this club will be: President, Vice President, Secretary and
Treasurer.
Sec 2. - Each Officer of this club will be elected for a term of two (2) years by ballot of eligible club
members.
. The President and Secretary will be elected in an odd year to serve the following even / odd year term,
. The Vice President and Treasurer will be elected an even year to serve tke following odd / even year term.
Sec. 3. - The duties of the officers of the club will be as defined in the By-Laws of the club.
Sec. 4. - Vacancies occurring between elections may be filled by a Board of Directors
Appointee.
Sec. 5. - Officers may be removed by a three-forth ( three/4 ) vote of the membership.
Sec. 1 - A club Director will be elected for a term of two (2) years.
Two Directors known as Directors “A” and “B” will be elected an even year to serve tke following odd / even year term.
One Director known as Director “C” will be elected in an odd year to serve the following even / odd year term,
These Directors will be elected by a ballot of eligible voters.
Sec. 2. - The Number of club directors will be defined in the By-Laws of the club.
Sec. 3. - The duties of a club director will be as defined in the By-Laws of the club.
The By-Laws will provide for regular and special meetings.
Dues or Assessments will be as defined in the By-Laws of the Club.
Sec. 1. - Proposals for amendments to the constitution will be submitted in writing at a regular
meeting of the Board of Directors and upon approval of the Board of Directors, will be
discussed at the next regular club business meeting.
A ballot will be sent to every
eligible member. This ballot may be delivered personally, deposited in the mail, or
conveyed by other means of written or electronic communication. This ballot will provide
an opportunity for the member to give approval or disapproval of each proposal being set
forth in the ballot.
Sec. l. - For any item requiring a vote of the general membership
the provisions of ARTICLE V and ARTICLE VI shall apply.
Sec. 2.- A majority of votes returned will be deemed sufficient to constitute
acceptance of any balloted issue.
The Corporation will have seven ( 7 ) Directors, consisting of : The four (4) executive Officers and three (3) Directors at large. Elected from the membership, these seven (7) board members will be known as the Board of Directors. The number may be changed by amendment of this By-Law or by repeal of this By-Law and adoption of a new By-Law.
Sec. 1. The Board of Directors is utilmately responsible for the club operation and will
cause to happen any action required of a California corporation by state or federal law.
Sec. 2. The Board of Directors will make written club policy.
Sec. 3. A quorum of four ( 4 ) Directors is required to conduct business.
Elections will be held in November.
Balloting will end on November 30.
Elected Board Members will be announced in December.
Annual Membership will run from July 1 to June 30.
Open to the holder of an Amateur radio license granted under part 97 of the rules and
regulations of the Federal Communications Commission.
Full membership includes all club privileges as well as the right to hold a club office and
to vote for club officers. Applications for membership will be accompanied by dues and
presented to the treasurer at a regular meeting or by mail to the club address.
Open to those actively engaged in a class leading to an Amateur Radio license and all
interested persons.
Associate Membership includes all club privileges except for the right to hold office and
voting privileges.
Any Individual obtaining a NEW amateur Radio license as a result of testing at a
TCARES-SPONSORED VE test session will be granted free membership in TCARES
until the start of the next membership period.
NOTE: This provision DOES NOT pertain to Upgrades or Vanity Calls.
The President will preside at all meetings of this club and conduct them according to the
rules adopted. The President will enforce due observance of the constitution and By-Laws; decide all questions of order; sign all official documents adopted by the club and perform all other duties pertaining to the office of the President.
The president will act as a "tie breaker" in the event of a tied vote of the boared members.
The Vice President will assume all the duties of the President in his or her absence.
The Vice President will organize club activities, plan and recommend contests for
operating benefits and advance club interest and activity as approved by the club.
The vice-president will maintain close liaison with the section Emergency Coordinator to
further club participation in Amateur Radio Public Service.
The Secretary will keep a record of the proceedings of all meetings, keep a roll of
members, submit membership applications, carry on all correspondence, read
communications at each business meeting.
The Secretary will note all amendments, changes and additions on the Constitution and
By-Laws and permit those documents to be consulted by members upon request,
The treasurer will receive and receipt for all monies paid to the club; keep an accurate
account of all monies received and expended; pay no bills in excess of One Hundred
Dollars ( $100.00) without authorization by a majority of the Board of Directors.
At the end of each quarter the treasurer will submit an itemized statement of
disbursements and receipts to the Board of Directors.
All Officers and members of the Board of Directors will turn over all items belonging to
the club to their respective successors.
Regular meetings will be held each month at a place and time as determined by the Board
of Directors.
Notification of all meetings may be delivered personally, deposited in the mail, or
conveyed by other means of written or electronic communication.
Special meetings may be called by the President upon written request of five (5) club
members.
Notice of such meetings will be given to the Board of Directors at least
seventy-two ( 72) hours prior to any such meeting and will provide information
concerning the business to be transacted
It will be the responsibility of the Board of Directors to call any special meeting of the
general membership, and Notice of such meetings will be given to the general membership
at least seventy-two (72) hours prior to any such meeting and will provide information
concerning the business to be transacted.
The club by a majority vote of the Board of Directors may levy on the general membership
such dues or assessments as will be deemed necessary for the business of the organization.
Nonpayment of such dues or assessments will be cause for expulsion from the club within
the discretion of the Board of Directors.
Proposals for amendments to the By-Laws will be submitted in writing at a regular
meeting of the Board of Directors and upon approval or disapproval of the Board of
Directors, will be discussed at the next regular club business meeting.
